Kursbeskrivning

The purpose of this advanced law course is to study legal tools and practices that facilitate corporate governance in technology firms. The course will focus on legal governance models, tools and practices that may increase sustainability and foster innovation. The course will also discuss the legal and governance aspects of venture capital investments.

Lärandemål

By the end of this course students will be able to:
- describe the main legal and economic theories of the firm and corporate governance
- apply legal tools and practices to manage the governance of the firm
- describe the legal aspects of venture capital investments and their effect on corporate governance
- choose legal tools and practices that increase sustainability and the firm’s ability to innovate

Förkunskaper

Bolags- och finansieringsrätt, Law of Corporate Finance, Aktiebolagets kapital or a similar course in company law or corporate finance law. There are no pre-requisites for students in the M.Sc. program in corporate governance in Helsinki.

Bedömning och examination

Written examination. The students in the M.Sc. program in corporate governance get 6 ECTS for the course. Other students get 8 ECTS.
